Terms of Use

Please read the following Terms of Use (“Terms”) carefully. In these Terms, unless the context requires otherwise:

“App” means the Site and the mobile application software known as “Karu Fit” (or such other name as applicable
from time to time), including all features, functionalities, and user interfaces, as the context requires.
“Content” means any information, data, text, software, music, sound, photographs, graphics, video, messages, or
other materials appearing on or through the App.
“Intellectual Property Rights” means all patents, copyrights, design rights, trademarks, service marks, trade
secrets, know-how, database rights, and other rights in the nature of intellectual property rights (whether
registered or unregistered).
“Privacy Policy and Personal Information Collection Statement” means the statement published on the Site from
time to time.
“Services” means all services provided through the App, including but not limited to fitness tracking, nutrition
guidance, and wellness recommendations.
“Site” means https://karufit.ai and any other website related to the App.

It regulates your use of the Karu Fit App and all materials within it. Access to and use of this App are subject to the following terms and conditions:

The Company is not responsible for any errors or omissions contained in the Mobile App and reserves the right to make changes without notice. While the Company believes all information provided is reliable, its accuracy is not warranted or guaranteed. THE COMPANY IS NOT LIABLE IN ANY EVENT FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THE MOBILE APP OR THE INFORMATION CONTAINED WITHIN IT.

All content available on the App, including but not limited to calorie counts, nutritional facts, charts, and projections, does not constitute medical advice and is not a substitute for professional medical guidance. Results, such as those based on calorie counts or projected weight loss, may vary. Always seek the advice of a licensed medical provider
before undertaking any weight loss plan. Reliance on any information provided by or found on the App is solely at your own risk. Information posted on the App may not be accurate or current, and the Company is not obligated under
these Terms of Use to update the App.

Not a Medical Device

The App is not a medical device and is not a substitute for medical care. It does not provide diagnosis, cure, mitigation, treatment, or prevention of any disease. Information provided on the App is for general use only and is not intended to provide personal medical advice or substitute for the advice of your physician. If you have questions or concerns about individual health matters or the management of your diabetes, please consult your diabetes care team.

You may not distribute, modify, transmit, reuse, re-post, or use the content of the App for public or commercial purposes without the Company's prior written permission. You may download materials displayed on the Mobile App for non-commercial or personal use only, provided you do not remove or modify any copyright or other proprietary
notices contained in these materials. Nothing in the App should be construed as granting a license or right to use any of the Company's intellectual property rights displayed in the App without the Company’s prior written permission.

Intellectual Property

The App, including but not limited to information, data, text, content, logos, photographs, images, video, audio, graphics, and button icons relating to the App, is protected by copyrights, trademarks, service marks, international
treaties, and/or other proprietary rights and laws. The App is protected as a collective work or compilation, and all individual articles, columns, and other elements making up the Mobile App are also copyrighted works. You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained in the App.

Restrictions on Use

You may not use the App for any illegal purpose or in any manner inconsistent with the Terms. You agree to use the App solely for your own personal, non-commercial use and benefit, and not for resale or other transfer or disposition to, or use by or for the benefit of, any other person or entity. You acknowledge that the App has been developed,
compiled, prepared, revised, selected, and arranged by us through the application of methods and standards of judgment developed through the expenditure of substantial time, effort, and money, and constitutes valuable intellectual property and trade secrets. You agree to protect our proprietary rights during and after the term of this
agreement and to comply with all reasonable written requests to protect our contractual, statutory, and common law rights in the App. You agree to notify us in writing promptly upon becoming aware of any unauthorized access to or use of the App by any party or of any claim that the App infringes upon any copyright, trademark, or other contractual,
statutory, or common law rights.

Permitted Users

Due to the nature of our service, we restrict access to the App to those who may safely use them. The following users are prohibited, either completely or partially, from using the App:

Individuals with Serious Medical Conditions: If you have a serious medical condition, including but not limited to
pregnancy, diabetes, high blood pressure, cancer, or heart disorders, you may not use the App without the prior
approval of your physician or another licensed healthcare provider.
Individuals with Eating Disorders: If you currently have or have had anorexia nervosa, bulimia, or other related
eating disorders, you are not permitted to use the App.
Children: We are committed to protecting the privacy of children and have no intention of collecting personal
information from individuals under the age of 18. If you are under 18, do not submit personal information to this Site
without the consent of your parent or legal guardian. No one under 18 is permitted to use this Site without direct
supervision by a parent, legal guardian, or other legally authorized person. If you are a parent, legal guardian, or
authorized person, you agree to the indemnification provision below as it relates to the use of the App by your
minor ward(s). Children under 13 are not permitted to use the App.

Further Restrictions on Use

You may not copy, reproduce, recompile, decompile, disassemble, reverse engineer, distribute, publish, display, perform, modify, upload to, create derivative works from, transmit, or exploit any part of the App, except that you may
download material from the App and/or make one print copy for your personal, non commercial use, provided you retain all trademarks and copyright notices. We reserve the right to withdraw permission for your use at any time. The analysis and presentation included in the App may not be recirculated, redistributed, or published by you without our prior written consent. Modification of the App's content would violate our copyright and other proprietary rights. Additionally, you may not offer any part of the App for sale or distribute it over any medium, including but not limited to
television or radio broadcasts, computer networks, or hyperlink framing on the internet, without our prior written consent. The App and its contents may not be used to construct any database. You may not copy or incorporate the content of the App into any other app or electronic retrieval system. You may not use the App to improve the quality of
any data sold or contributed by you to any third party. Furthermore, you may not use our trademarks, trade names, or service marks in any manner that creates the impression they belong to or are associated with you. You will not use
the App or its information in unsolicited mailings or spam. You agree to comply with any other applicable terms and conditions of use set forth on the App.

License

Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the App for your personal, non-commercial use.

You shall not:

(a) copy, modify, or create derivative works of the App;

(b) reverse engineer, decompile, or disassemble the App;

(d) use the App for any commercial purpose;

(e) transfer, sublicense, or assign your rights under these Terms.

You acquire no rights or licenses in or to the App and materials contained within it, other than the limited right to use the App in accordance with these Terms. If you choose to download content from the App, you must do so in accordance with these Terms. Such downloads are licensed to you solely for your personal, non-commercial use and
do not transfer any other rights to you.

Rights Reserved

All present and future rights to the Intellectual Property Rights, including any future modifications, improvements, or derivative works, shall remain our sole property. All rights in the App, including the right to exploit it over any present or
future technology, are reserved for our exclusive use. Except as specifically permitted by these Terms, you may not copy or use the App or any portion thereof. You shall not use the Intellectual Property Rights, the App, or any names of participants or contributors for any purpose without the Company’s prior written consent.

Personal Data Collection

Privacy Policy and Personal Information Collection Statements: The Company is committed to safeguarding your privacy online. Please read the Privacy Policy and Personal Information Collection Statement on the Site to understand how your personal information will be collected and treated as you use the App. This policy may change from time to time, so please check back periodically.

The App is available for devices running Apple iOS and Android OS. The Company will use reasonable efforts to ensure availability at all times. You acknowledge that the app's functions and features will only be accessible when your mobile device is connected to the Internet, mobile networks, WiFi, or Bluetooth. Consequently, the quality and
availability of the App may be affected by factors beyond the Company’s control.

The Company and its officers, employees, agents, advisors, contractors, or subcontractors do not accept any responsibility for the unavailability of the App or for any difficulties in downloading, uploading, or accessing content, or any other communication system failures that may result in the App being unavailable.

The Company will not be responsible for any support or maintenance of the App.

System Requirements

To use the App, you need a compatible mobile device such as a mobile phone. Access to the Internet, WiFi, and Bluetooth is also required. Your mobile device must be updated to the latest software version and you are responsible for ensuring that all security patches have been properly installed.

Language Support: English and Traditional Chinese. The version of the App software may be upgraded periodically to enhance user experience and provide new functions, features, and services.

Governing Law

These Terms shall be governed by the laws of the Hong Kong Special Administrative Region (“HKSAR”) and shall be subject to the non-exclusive jurisdiction of the courts of HKSAR.

Termination of Use

The Company may terminate access to the App at any time. Upon termination, the rights and licenses granted to users shall cease, and users must discontinue any use of the App.

Limitation/Exclusion of Liability

In no event shall the Company, its officers, employees, agents, advisors, contractors, or sub-contractors be liable for any direct, indirect, incidental, special, punitive, exemplary, or consequential loss or damage arising from your use of or inability to use the App (including, without limitation, unauthorized access using your username and password or transmission of content and transactions through the App).

The Company shall not be liable for any damage or alteration to your electronic equipment, including but not limited to computers, mobile devices, or tablets, resulting from the installation or use of the App. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

The Company's total liability for any claims arising from these terms or your use of the App shall not exceed the amount you paid for the App in the twelve months preceding the claim.

Links to third-party websites provided within the App are for your convenience only and are not endorsed by the Company. If you access any linked third-party websites, you do so at your own risk. The Company makes no representations or warranties regarding the availability or content of these sites.

The Company does not guarantee uninterrupted or secure access to the App. Portions of the App may be unexpectedly unavailable for various reasons, including system malfunctions, internet downtime, and other technical issues beyond the Company’s control. You agree that your use of the App is at your own risk and that the Company is
not liable for any damage or loss resulting from your inability to use the App for any reason. The Company reserves the right to take any part or all of the App offline at any time, with or without notice, for reasons including system
maintenance or upgrades.

Miscellaneous

Right to Transfer: The Company may transfer, assign, charge, sub-contract, or otherwise dispose of any rights or obligations under these Terms at its discretion, without prior notice to users.

Right to Amend: The Company may revise and amend these Terms at any time without prior notice.

Right to Interpret: The right to interpret these Terms resides with the Company. All questions or disputes will be resolved at the Company’s discretion, and its decisions will be final and binding on all parties involved.

English Version Prevails: These Terms are written in English. In case of discrepancies between the English version and any translations, the English version shall prevail.

Entire Agreement: These Terms, along with any expressly referenced documents, constitute the entire agreement between the Company and users of the App, superseding all prior discussions, correspondence, negotiations, arrangements, understandings, or agreements related to the subject matter.
